Terms of Service

1. What Zorva is
Zorva is a billing-audit SaaS product. It runs an AI auditor against claim data and clinical notes to surface billing errors, denial-risk signals, and coverage gaps. The auditor is a decision support tool — final submission is the human biller's responsibility.
2. Pilot terms
Pilot access is free for up to 60 days. The pilot period is governed by the BAA / HIC-Agent agreement signed between the clinic and Zorva. The pilot may be terminated by either party with 7 days' notice. Billing does not start during the pilot — the first 60 days are free, signed under a BAA / HIC-Agent agreement that covers data handling. 3. Paid terms
After the pilot, the clinic moves to one of three monthly plans: $499 / $1,499 / $2,999+ CAD (or USD-equivalent for US-based clinics). The plan is selected based on monthly encounter-audit volume:
- Solo ($499/mo): up to 1,000 encounter audits / month.
- Practice ($1,499/mo): 1,000–3,000 encounter audits / month.
- Network ($2,999+/mo): 3,000+ encounter audits / month (custom volume).
Annual plans are available at a 15% discount. Volume is measured as the rolling 30-day trailing average.
4. Termination
- By the clinic: 30 days' notice. No refund of prepaid fees.
- By Zorva: 30 days' notice for non-payment; 60 days' notice for any other reason.
- For cause: Zorva may terminate immediately for material breach (e.g. uploading PHI for the purpose of model training).
On termination, the clinic has 30 days to export their data
via GET /api/tenants/{tenant_id}/export.jsonl.
After 30 days, all tenant data is purged.
5. Refund policy
- Monthly plans: no refunds. Termination stops future billing; no pro-rata refund for the current month.
- Annual plans: pro-rata refund for unused full months, minus a 10% cancellation fee.
- Pilot: no charges; no refunds.
6. Acceptable use
You may NOT use Zorva to:
- Upload PHI for the purpose of training AI models.
- Reverse-engineer the auditor's prompts or weights.
- Re-sell Zorva's findings, audit results, or appeal-letter output as a competing product.
- Upload PHI from jurisdictions where Zorva is not yet certified (we'll tell you which).
- Attempt to bypass tenant scoping.
7. Service availability
Target SLA: 99.5% monthly uptime, excluding scheduled maintenance (announced 7 days in advance). When we miss the SLA, the credit is one day of subscription per hour of downtime beyond the threshold, capped at 1 month.
8. Data ownership
You own your data. Zorva's database, application code, and LLM prompts are Zorva's IP. The audit-trail chain is tamper-evident but you (and your privacy officer) can verify it independently.
9. Limitation of liability
Zorva is a decision-support tool. We are not responsible for denied claims, missed findings, or compliance penalties that result from relying on Zorva's output without human review. Total liability under this agreement is capped at 12 months of subscription fees paid.
10. Disclaimer
Zorva is not a substitute for professional billing, coding, or legal advice. The auditor's findings are statistical predictions, not guarantees. Always have a human biller review flagged claims before submission.
11. Governing law
- Canada (Ontario): governed by Ontario law.
- Canada (Alberta): governed by Alberta law.
- United States: governed by the laws of the state where the clinic is incorporated.
- Mexico: governed by Mexican federal law.
- Colombia: governed by Colombian law.
